SPECIFICATIONS/PURCHASE DESCRIPTIONS

RE: SOLICITATION SD-Z-03-031-04-019 

SCHEDULE

AAFES Is going out for Bid on Vending Machines.  They will be running three different Reverse-Auctions for the three different types of Vending Machines they will be purchasing.  You are encouraged to bid on as many as possible.  This Reverse-Auction is for Drink and Snack Machines.

 1.    PURPOSE:  This is a solicitation for the supply of the item(s) listed in Exhibit B to the Army and Air Force Exchange Service (AAFES).

 2.    PERIOD OF CONTRACT AND EFFECTIVE DATE:  The contract will be for a period of five (5) years unless sooner terminated  according to contract provisions.  The effective date will be 27 July 2004 or the date shown in the Acceptance and Award section of AAFES Form 4450-02, whichever is later.

 3.    PRICE PROPOSAL:

a.        Proposals are requested on FOB Origin and/or FOB Destination basis.

b.        Enter prompt payment discounts and any other discounts or allowances on Exhibit B.

 4.        EVALUATION FOR AWARD OF CONTRACT:  One or more contracts will be awarded to those responsible offerors whose proposals are responsive and offer the lowest landed cost to AAFES for each item.  The lowest landed cost to AAFES is either the lowest FOB Origin cost offered, less allowable discounts, plus the AAFES transportation cost (computed by line item or any combination there of, whichever results in the lowest cost to AAFES); or the lowest FOB Destination cost offered, less allowable discounts.  Allowable discounts are those discounts (for example, prompt payment, quantity, and so forth) for which AAFES would qualify under the terms of the solicitation.  All discounts offered will become a part of the contract whether or not considered in the evaluation.

 5.    DELIVERY ORDERS:  Individual delivery orders citing the contract number will be processed on AAFES order forms.  For delivery terms  FOB Origin and/or FOB Destination, the contractor will ship within 30 days after receipt of order, or on the ship date shown on the order, whichever is later.

 6.   QUANTITIES:

    a.  Estimated quantities are provided in Exhibit B.

    b.  The quantities stated are estimates only.  AAFES may, at its option, order more or less than the quantities shown.  AAFES is obligated to purchase only those quantities actually ordered, received and accepted.

 7.    BUY AMERICAN ACT-TRADE AGREEMENT ACT: The items being purchased are subject to Exhibit D

 8.    UNILATERAL AMENDMENTS:  The contracting officer may make unilateral amendments to the contract to incorporate administrative changes, provided such changes are within the general scope of the contract and the changes have no cost impact on the contractor.  For example, internal AAFES code number changes, nomenclature or sell price changes.  In addition, the contracting officer may make unilateral amendments to the contract cost prices and/or other changes when such amendments incorporate contractors written requests for revision.

 9.    PRICE ADJUSTMENTS:  In addition to the terms in the Prices clause, General Provisions, Exhibit A, the following applies:

     a.  Contractor will notify the contracting officer in writing, at least 45 days in advance, of any proposed increase in price or proposed changes of any nature to the contract.  A price increase request must be accompanied by supporting documentation.  Documentation, to include but is not limited to: (1) the manufacturers price list on which the proposed increase is requested, and (2) copies of invoices identifying costs at the time of contract award and copies of invoices identifying unforeseeable increased costs at the time of the requested increase.  The supporting documentation must be sufficient to provide for comparative analysis of the relationship of the above increased costs to the contractor's total costs.

     b.  Notwithstanding the above, no request for price increase will be considered within 1 year of the contract effective date.

      c.  The contracting officer reserves the right to reject contractor requests for price increases.  In the event of rejection, either party may terminate the contract without liability according to the Termination By Notice clause, Exhibit A.

                                                                   EXHIBIT E

               DESCRIPTION OF INTERNET-BASED PRICING PROPOSAL EVENT

 Part 1

A. Sorcity.com

AAFES has retained Sorcity.com, Inc. to assist in this Internet-based Pricing Proposal Event. Those offerors who wish to submit responses to the solicitation must complete the following:

1.   Register with Sorcity (www.sorcity.com) and become a member. There is no cost to the Offeror to register or participate in the AAFES reverse auction events.

2.  To register as a supplier to AAFES you will need to visit the AAFES website and complete the information required of all suppliers wishing to conduct business with AAFES. You must indicate your acceptance of the AAFES Terms & Conditions (for Expense, Supplies and Equipment,) the vendor Performance Program and the Source List Application General by completing and signing AAFES Form 4450-02.

3.   Completing the AAFES FORM 4450-02 SOLICITATION/PROPOSAL/AWARD and the Source List Application General indicates agreement with AAFES Terms and Conditions. It is now necessary to fax or send by regular mail, a copy of a signed AAFES form 4450-02 and the completed Source List Application General to the AAFES Contracting Officer referenced in this solicitation.

Registered suppliers who are invited to participate in the Internet-based pricing event will be notified by Sorcity.com prior to the activation of the event and given a code in order to provide pricing proposals using a secure Internet-based tool by Sorcity.com.

4.    Offerors can have access to this tool from anywhere in the world as long as they have access to the Internet using Internet Explorer. Offerors will be given a website address, a secure User ID, and a password they select when they register.

 B. Queries Concerning Solicitation

All questions regarding the technical aspects (system software) and content of the Reverse Auction must be directed to Sorcity.com using either the above Email address or by posting questions through the Sorcity.com web hosted event. All questions regarding the content of the solicitation will be answered by the AAFES contracting officer and subsequently posted on the web-hosted event for all offerors to view. Any solicitation amendments will be provided electronically to participating offerors and attached to the online reverse auction event.

INITIAL DATE: Send out the Solicitation posting to offerors via email

QUALIFICATION DATE: All offerors must complete the registration process by this date.

INVITATION DATE:  All registered offerors will be sent an email requesting their participation in the reverse auction for this solicitation.  Both AAFES/Sorcity.com notifies offerors they have been invited to participate in the Internet-Based Reverse Auction Event. Each offeror will be given a specific link and Private Access Code to the event. Only through this invitation may an offeror place a pricing proposal. The offeror agrees to keep this Private Access Code confidential.

REVERSE AUCTION EVENT DATE: The listing of the date(s) during which time the offerors may make pricing proposals on Sorcity.com.  Within two hours of the ending of the Reverse Auction Event, all participating  offerors must send by electronic media a detailed line item worksheet as shown in Exhibit B. ADDITIONALLY, a written copy of the entire solicitation package Solicitation/Proposal/Award (4450-02) must be completed and returned to AAFES by the next business day.

DETERMINATION OF RESPONSIVENESS: The date(s) by which the offeror and AAFES agree to exchange certain information or samples including but not limited to any normal procedure undertaken by AAFES.

 

Part 2

A. Submission of Pricing

1. Offerors are to submit pricing only through the event at Sorcity.com. Participating  Offerors must submit the completed forms as described in Section 2, of the Solicitation/Proposal/Award within two hours of the event.

2. This Internet-based Pricing Proposal Event will consist of one lot entitled “Vending Equipment”

In this lot, offerors will provide price proposals to supply the estimated annual volume of of the line items to 2 AAFES Distribution Centers.

B. Price Proposal Formulation

    1. To formulate your price proposal for Vending Equipment, you should use the following steps:

Step 1: Open the Microsoft Excel spreadsheet entitled Exhibit B On-Line Worksheet

Step 2: Type in the FOB Origin and/or FOB Destination Price Per Unit for each line item in the designated columns of the spreadsheet.

Step 3: The program will automatically calculate the “ANNUAL ITEM COST” using the  FOB ORIGIN/FOB DESTINATION PRICE PER UNIT.  A Transportation Evaluation, which is based on each offeror’s ship point zip code, cube, and weight, will be conducted after the event by the AAFES Logistics Department.

Step 4: Enter any prompt payment discount you wish to offer AAFES (in % form, and # of days) in the

Designated cells. Please keep in mind that AAFES will only consider prompt payment discounts for a period of 20 days or more in the evaluation of each offeror's proposal. If the payment discount meets these requirements, the cell under the word "Check" will display the word "Applied" and the discount will be applied to your price proposal. If not, the cell under the word "Check" will display the phrase "Not applied" and no prompt payment discount will be applied to your price proposal.

Step 5: The program will round the “Total Estimated Annual Cost for vending equipment SOLICITATION SD-Z-03-031-04-019” to the nearest decrement—i.e., the interval amount by which a price proposal may be decreased—and display this total in the cell entitled “Rounded Total Estimated Annual Cost for SOLICITATION SD-Z-03-031-04-019.” This will be the price you place online.

Step 6: To adjust your price proposal, change the FOB Origin and/or FOB Destination price for one or more items. Your new price proposal will be automatically formulated in the Excel spreadsheet and the new price proposal can be placed online.

2.  At the completion of the Internet-based Pricing Proposal Event, you must submit Exhibit B Price/Item Listing with individual line item pricing. The “Rounded Total Estimated Annual Cost for SOLICITATION SD-Z-03-031-04-019” and your completed Exhibit B On-Line worksheet should match the lowest pricing proposal you had shown during the online pricing proposal event.

  3.Your completed worksheets  Exhibit B Price/Item Listing and Exhibit B On-Line Worksheet are  due by fax or email within 2 hours after the event closes (Central Time) on the day of the Internet-based Pricing Proposal Event, July 13, 2004 to the AAFES Contracting Officer gowde@aafes.com or fax 214-312-2528.  You are also required to print out and sign the first & second page of the completed worksheet Exhibit B Price/Item Listing and page 2 of Exhibit B On-Line Worksheet and fax a hard copy  to the AAFES Contracting Officer at 214-312-2528. The faxed hard copy of the worksheet is also due by 3:00 p.m. (Central Time) on the day after the Internet-based Pricing Proposal Event, July 13, 2004. Finally, a copy of the entire Solicitation Package with an original signature on the first page must be post marked the next business day to the AAFES Contracting Officer.

   

Part 3

In order to participate in the Internet-Based Pricing Proposal Event for AAFES  the offeror must agree to the following terms and conditions:

A. Internet-Based Pricing Proposal Event Rules - General

1. Sorcity.com as an Independent Contractor. Sorcity.com is an independent contractor with respect to Buying Organization, Offeror and any other participant in the Internet-Based Pricing Proposal Event.   Sorcity.com has final responsibility for all decisions regarding the operation of the Internet-Based Pricing Proposal Event.   Sorcity.com may suspend or cancel online Internet-Based Pricing Proposal Event at any time and without prior notification.   Sorcity.com shall not hold title to, handle the physical distribution of, nor be held liable for failures of any components, materials, services or offerors.

2. Solicitation. Offeror acknowledges that it has received, read and understood these terms and conditions with respect to the Internet-Based Pricing Proposal Event held by the Buying Organization and conducted by Sorcity.com.

3. Limited Liability. Offeror hereby releases Sorcity.com from any liability with respect to the Internet-Based Pricing Proposal Event, including any conduct of Sorcity.com or any participant in the Internet-Based Pricing Proposal Event, regardless of whether such liability arises under contract, tort or any other theory.

4. Confidentiality. Offeror shall keep the passwords and other confidential materials provided by Sorcity.com and/or Buying Organization, and all pricing proposals provided by itself or another Offeror in confidence and shall not disclose the foregoing to any third party.

 

B. Internet-Based Pricing Proposal Event Rules - Offeror Rules

1. Offeror agrees to submit pricing proposals only through the online tool provided by Sorcity.com, and Offeror shall not submit pricing proposals via any other mechanism, including but not limited to mail, courier, fax, E-mail, or orally, unless specifically requested by the Buying Organization.

2. Pricing proposals that an Offeror submits through Sorcity.com are legally valid quotations without Qualification.

3. Offeror must notify Sorcity.com immediately if it is experiencing difficulties during the Internet-Based

Pricing Proposal Event. “Difficulties” include any event or problem which interferes with the Offeror’s ability to participate in the Internet-Based Pricing Proposal Event and may include, but is not limited to: data entry errors, software problems, or hardware problems. Offeror will have thirty (30) minutes after a lot is “closed” to notify Sorcity.com of any problems. If Sorcity.com judges that any offeror has been disadvantaged by a problem, Sorcity.com, in coordination with the Contracting Officer, may elect in its discretion to correct the problem and may return the lot to “Open” status. Sorcity.com shall not be subject to liability due to its election not to return a lot to “Open” status.

4. All offerors will prohibit unethical behavior and are expected to notify Sorcity.com if they witness practices that are counterproductive to the fair operation of the online marketplace.

5. Offers received in the Internet-Based Pricing Proposal Event will be used in the evaluation for award subject to the basis for award identified in the AAFES solicitation.

 

C. Buying Organization Rules

1. Buying Organization has the right to approve the list of offerors invited to participate in the Internet-Based Pricing Proposal Event.

2. Buying Organization intends to award the business to participating offerors, and Buying Organization is not going to award the business to non-participating offerors. Buying Organization is not going to negotiate with non-participating offerors for the business in the Internet-Based Pricing Proposal Event.

3. The Buying Organization is not going to conduct additional pricing negotiations outside of the online tool, except to clarify final details as are typically reserved until after the online event.

4. Buyer has option to cancel the procurement at anytime for any reason, without penalty.

A. Using the Sorcity.com Tool—Quick Start

1. Go to www.sorcity.com using Internet Explorer.

2. Once on the Sorcity.com web site, click on the word “Sellers Area.”

3. Click on the “All Activity Button, then the “Active” button to view a list of events.

4. Click on the number next to the phrase AFFES Vending Machines - Drink and Snack Machines in the center of the screen.

5.  Review the details of the purchase event in full, then scroll to the bottom of the screen.

6. Type in your pricing proposal in the “Your Lowest Bid Is field—be sure that it is a numeric proposal rounded to the nearest decrement and below the value of the starting price and any previous pricing proposal you have already placed online.

7. Click on the “Place My Bid” button. On the Confirmation screen, confirm your bid placed by entering your username and password and pressing the button. You will be notified if your pricing proposal submission is successful.

8. Click on text “Click here to continue” and you will return to the pricing proposal submission screen.

9. Continue to submit pricing proposals by repeating the last three steps.

 

B. Access to Internet-Based Pricing Proposal Event

Each offeror will select a unique and secure User ID and Password when they register for a Sorcity account. AAFES Solicitation SD-Z-03-031-04-019 Internet-Based Pricing Proposal Event on July 13,2004. Offerors must keep their User IDs and Passwords confidential. If you lose or forget your User ID or Password, please call Sorcity Supplier Support at 972-612-0003.

 

C. Scheduled Opening and Closing Times

The Internet-Based Pricing Proposal Event is scheduled to open on July 13, 2004.

D. Internet-Based Pricing Proposal Event Extension Times

1. In order to avoid any panic in the last few seconds of the Online Pricing Proposal Event, the tool is designed to extend the closing time of the event if there are any pricing proposals submitted in the final ten (10) minutes

2. If there is a pricing proposal submitted in the last ten minutes before the Internet-Based Pricing Proposal Event scheduled closing time, the closing time will then be extended by an additional ten minutes from the point at which the last pricing proposal was placed. For instance, should someone submit a pricing Proposal with only 1 (one) minute remaining, the Internet-Based Pricing Proposal Event will automatically extend for another 10 (ten) minutes. Therefore, there will now be 10 (ten) minutes left to submit proposals.

3. The number of ten-minute extensions is unlimited on the Sorcity.com service.

4. The “Time Remaining ” field in the tool shows time left in the Internet-Based Pricing Proposal Event. The“ Time Remaining” time will be displayed with accuracy to the second. You may continue to submit pricing proposals as long as the Time Remaining field displays time remaining in the auction. The tool will not accept any pricing proposals once the Time Remaining field displays no time left.

5. Although the tool captures all the pricing proposals submitted before the closing time, we suggest that you do not wait until the last few seconds to submit your pricing proposal. Depending on your geographic location, the speed of your Internet connection, and the Internet traffic at the time of your pricing proposal submission, it may take anywhere between a fraction of a second to a few seconds for your pricing proposal to be successfully recorded on the Sorcity.com tool. 1. What are the step-by-step instructions to submitting pricing proposals on the AAFES Private Internet-Based Proposal Event?

a. Open an Internet Explorer browser by clicking on “Start => Programs => Internet Explorer” Type:  www.sorcity.com in the address field of the Internet browser and hit the “Enter” on your keyboard. You will see the Sorcity.com splash page.

b. Click on the word “Sellers Area” then click “My Activity” if you already signed up through the “Join Free” link, and then type in the User ID and Password you selected when you signed up for membership with Sorcity.

c. Once you are inside your account, enter the Private RA Code provided in the email notification sent by Sorcity where it says “Enter "Private R-A" code ONLY if you received a Private notice:” Click on the words “View” to display the AAFES Internet-Based Pricing Proposal Event. Only the limited number of offerors who have been invited to participate in the AAFES Internet-Based Pricing Proposal Event will be able to view the Pricing Proposal Event.

d. Click on the Reverse-Auction number for which you’d like to provide a proposal AFFES Vending Machines - Drink and Snack Machines” (SOLICITATION SD-Z-03-031-04-019 ).

Description.” You will see the text “AFFES Vending Machines - Drink and Snack Machines” along the top of the screen. On this “Procurement Request” screen you can review the Time Remaining, Number of Bids, and Current Bid Price. Scroll down (you can click on the down arrow on your keyboard to move the screen down or use the scroll bar on the right-hand side of the screen) and submit your pricing proposal.

e. To submit your pricing proposal, enter the amount you choose in the “ Your Lowest Bid is” field or enter the starting bid (the starting bid is one decrement lower than the current winning bid (pricing proposal), although that bidder may have already placed a lower bid not yet revealed) already displayed in the box next to “ Your Starting Bid is”. f. When you submit another pricing proposal, please be sure that it is LOWER than your previous proposal submitted.

g. Click on the button “Place My Bid”. Then you must confirm that bid placed in the following confirmation screen by entering your username and password. The tool will confirm whether your pricing proposal has been accepted or not. You can submit a pricing proposal again, which should be a number lower than the starting price, lower than any previous pricing proposal you have submitted.

h. Continue to submit pricing proposals by entering the amount in the “Your Bid is, clicking on “Place My Bid, etc…

 

2. What is the tiebreaker if two offerors submit the same pricing proposal?

If two offerors submit the same pricing proposal, the tiebreaker is time. The time of the Internet-based Pricing Proposal Event is measured in the database to a fraction of a second, to resolve ties in the rare event when multiple pricing proposals are submitted at the same second.

3. What is the starting price of the Internet-based Proposal Event?

The starting price of the actual pricing proposal event will be determined by the buyer and Sorcity.com. The starting price is typically related to the buyer’s historical pricing.

4. Why is my pricing proposal not accepted?

a. Make sure that the amount you entered in Your Bid is” field is equal to or less than the starting price of the online pricing proposal event.

b. Make sure that the amount you entered in “Your Bid is” field is less than any previous pricing proposals you have submitted. If you refresh the screen, the shown “Bid Price” field will equal a pricing proposal that is one decrement lower than the “Current Winning Price” by default.

c. Make sure that only numbers (and no text) are entered in the “Your Bid is” area.

d. Also make sure that once you enter your pricing proposal into the “Your Bid is” area, you have clicked on the “Place My Bid” button in order to submit your pricing proposal.

5. Who do I call if I have problems with networks or my computer and I cannot get to Sorcity.com’s Home page?

You should get your technical support to help connect your computer to the Internet. Do not call Sorcity.com’s support team for problems or questions regarding your Internet connection. For any problems you have with the Sorcity.com application (that is, after you reach the Sorcity.com home page) you may call Sorcity Supplier Support at 972-612-0003.

6. After the Internet-Based Pricing Proposal Event closes, will I still be able to view the pricing proposals submitted?

Yes. Once the Pricing Proposal Event closes, it will show up in the Ended section of your account.  Your bids are shown in green so you can keep track of your bid history and also have full access to the event as needed.

7. Will the Internet-Based Pricing Proposal Event be extended after its scheduled closing times?

The Internet-Based Pricing Proposal Event will be extended ONLY if there is a pricing proposal submitted in the last 10 minutes before the closing time. You should not assume that the Internet-Based Pricing Proposal Event will be extended. If there is no pricing proposal submitted in the last 10 minutes of the Internet-Based Pricing Proposal Event, then the pricing proposal event will be closed at the scheduled closing time and no further pricing proposals will be accepted after closing.

8. How much time should I allow before the closing time of the auction to submit my pricing proposal?

Although the tool captures all the pricing proposals received before the closing time, we suggest that you do not wait until the last few seconds to submit your pricing proposal. Depending on your geographic location, the speed of your Internet connection, and the Internet traffic at the time your submit your pricing proposal, it may take anywhere between a fraction of a second to a few seconds for your pricing proposal to be successfully recorded on the Sorcity service. Therefore, we recommend that all participants submit an initial pricing proposals at least  2 hours before the closing time of the Internet-Based Pricing Proposal Event.

9. Suppose there is an unforeseen problem with the Internet-Based Pricing Proposal Event that suspends the pricing proposal event. How will Sorcity.com handle the situation?

In such an unforeseen event, Sorcity.com will notify the buyer for instruction on how they want to handle the situation.  Then Sorcity will notify suppliers as to the new ending time of the event.  All notifications as it relates to the online bidding event will come from Sorcity.

AAFES reserves the right to suspend or postpone the AAFES Private Internet-Based Pricing Proposal Event due to any unforeseen circumstances. If and when an Internet-Based Pricing Proposal Event is postponed or suspended, ALL offerors will be notified immediately and will be provided with an alternate date and time for the Internet-Based Pricing Proposal Event.

3. Click on the “All Activity” Button, then the “Active” button to view a list of events.

4. Click on the number next to the phrase SOLICITATION SD-Z-03-031-04-019  in the center of the screen.

5.  Review the details of the purchase event in full, then scroll TO the bottom of the screen.

6. Type in your pricing proposal in the “Your Lowest Bid Is” field—be sure that it is a numeric proposal rounded to the nearest decrement and below the value of the starting price and any previous pricing proposal you have already placed online.

7. Click on the “Place My Bid” button. On the Confirmation screen, confirm your bid placed by entering your username and password and pressing the button. You will be notified if your pricing proposal submission is successful.

8. Click on text “Click here to continue” and you will return to the pricing proposal submission screen.

9. Continue to submit pricing proposals by repeating the previous three steps.

 

B. Access to Internet-Based Pricing Proposal Event

Each offeror will select a unique and secure User ID and Password when they register for a Sorcity account. AAFES Solicitation SD-Z-03-031-04-019 Internet-Based Pricing Proposal Event on Date. Offerors must keep their User IDs and Passwords confidential. If you lose or forget your User ID or Password, please call Sorcity Supplier Support at 972-612-0003 for help.

 

C. Scheduled Opening and Closing Times

The Internet-Based Pricing Proposal Event is scheduled to open at 7/9 at 4:00 p.m. Dallas Local Time.

The scheduled closing time(s) is as follows:  Time as shown in Exhibit A

 (Please note that the time shown on the website will be in Central Time.)

 

D. Internet-Based Pricing Proposal Event Extension Times

1. In order to avoid any panic in the last few seconds of the Online Pricing Proposal Event, the tool is

designed to extend the closing time of the event, if there are any pricing proposals submitted in the final ten (10) minutes

2. If there is a pricing proposal submitted in the last ten minutes before the Internet-Based Pricing Proposal

Event scheduled closing time, the closing time will then be extended by an additional ten minutes from the point at which the last pricing proposal was placed. For instance, should someone submit a pricing

proposal with only 1 (one) minute remaining, the Internet-Based Pricing Proposal Event will automatically extend for another 10 (ten) minutes. Therefore, there will now be 10 (ten) minutes left to submit proposals.

3. The number of ten-minute extensions is unlimited on the Sorcity.com service.

4. The “Time Remaining ” field in the tool shows time left in the Internet-Based Pricing Proposal Event. The“ Time Remaining” time will be displayed with accuracy to the second. You may continue to submit pricing proposals as long as the Time Remaining field displays time remaining in the auction. The tool will not accept any pricing proposals once the Time Remaining field displays no time left.

5. Although the tool captures all the pricing proposals submitted before the closing time, we suggest that you do not wait until the last few seconds to submit your pricing proposal. Depending on your geographic location, the speed of your Internet connection, and the Internet traffic at the time of your pricing proposal submission, it may take anywhere between a fraction of a second to a few seconds for your pricing proposal to be successfully recorded on the Sorcity.com tool. Therefore, we recommend that all participants submit their pricing proposals at least 1 minute before the closing time of the Internet-Based Pricing Proposal Event.
